1) IDENTIFYING RISKS
Identify any potential legal risk and exposure that the Company may face due to its operations and investment in Mexico, assessing and analyzing such risks and exposure that may affect the company and providing with possible mitigation measures. To collaborate with other disciplines in the risk assessment exercises.
2) GOVERNMENTAL AND INTERNAL COMPLIANCE
Ensure that the Company is conducting its business in Mexico in full compliance with all national and international laws and regulations, particularly with those that pertain to the Oil and Gas industry, as well as professional standards, accepted business practices, and internal standards. This includes, complying with the requirements established in the laws and corresponding petroleum agreements.
In addition, ensure that the internal compliance regulations and the Company´s goals and culture are put in practice, and educating The Company´s Mexican employees and contractors/service providers on those to achieve the highest possible level of compliance.
3) MANAGEMENT OF OIL AND GAS CONTRACTS AND OTHER ARRANGEMENTS
Negotiate, review, draft and advise on Farmin Agreements, Joint Operating Agreement (JOAs), License Agreements and Production Sharing Contracts (License Agreements and Productions Sharing Contracts, jointly known as “Petroleum Contracts”) matters with authorities and new partners as well as Operational Agreements; negotiate, review, draft and advise on other commercial agreements i e. Shareholders Agreements, Leasing Agreements and other ancillary contract in relation thereof and follow up on legal advice in relation to matters arising therefrom.
The above shall include highlighting and proposing recommendations to resolve issues/concerns with venture partners and host authorities in accordance with The Company and host government’s requirements and the terms of the corresponding petroleum agreement so as to safeguard The Company interest.
4) LEGAL PROCEEDINGS
Pursue claims related to The Company operations in Mexico, managing lawsuits and arbitration proceedings, coordinating between the partners, external lawyers and claimants.
Review the content of the documents that are part of or related to the above, providing comments and legal opinions to protect The Company´s interest.
Advising and keeping management informed of the proceedings and any developments.
5) CORPORATE MATTERS
Review of Board Papers (prepared by other teams) and preparation of Board and Shareholders´ Resolutions, following up until the final signing of the foregoing documents, being in charge of the protocolization or notarization, as the case may be, keep control of the corporate books of the The Company´s Mexican entities.
6) OTHER LEGAL DUTIES
Be responsible for advising, giving opinion and assistance on labour Issues, particularly any matter that relates when dealing with labour unions. Also draft, review and negotiate labour legal documents (Collective Bargaining Agreements, offer letters, etc). Manage external labour legal consultants
Be responsible for advising, giving opinion and assistance on HSE and environmental matters that relate or may affect The Company´s operations.
In general, other legal assistance/advice regarding the day-to-day activities and operations.
